This Non-Compete Agreement (hereinafter referred to as the "Agreement") is entered into as of _________ [insert date], by and between __________ [insert name of the employer or company], with its principal place of business located at ___________ [insert employer address], (hereinafter referred to as the "Company"), and ___________ [insert name of the employee], residing at ___________ [insert employee address], (hereinafter referred to as the "Employee").

WHEREAS, the Employee agrees to perform services for the Company, and in consideration of the employment and compensation received, agrees to be bound by the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Non-Compete Obligation: The Employee agrees that during the term of their employment with the Company and for a period of __________ [insert time period], following the termination of employment, regardless of the cause of termination, the Employee will not engage in any business that is directly or indirectly in competition with the business of the Company within __________ [insert geographical area].
2. Non-Solicitation: For the duration of this Agreement and for __________ [insert time period] thereafter, the Employee shall not, directly or indirectly, solicit business from, or attempt to sell, licence, or provide the same or similar products or services as are now provided to, any of the Company’s clients or customers that the Employee had contact with, were aware of, or were involved in dealings with during the term of their employment.
3. Confidentiality: The Employee acknowledges that during the term of their employment, they will have access to and become acquainted with various trade secrets, inventions, innovations, processes, information, records, and specifications owned or licensed by the Company and/or used by the Company in connection with the operation of its business including, without limitation, the Company's business and product processes, methods, customer lists, accounts, and procedures. The Employee agrees to keep all such information confidential and not to disclose it to any third party without the prior written consent of the Company.
4. Return of Property: Upon termination of employment, for any reason, the Employee agrees to return to the Company all documents, records, notes, data, memoranda, work products, and other information, in any way related to the business of the Company, that were created, used, or controlled by the Employee during the term of their employment.

This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of laws principles.
